Terms of Service

1. Eligibility and authority

You must be at least 18 years old and legally able to enter into a binding agreement. If you use the Directory for a company or other organization, you represent that you have authority to bind that organization to these Terms.

2. Accounts

• You must provide accurate and current account information.
• You are responsible for safeguarding sign-in credentials and for activity under your account.
• You must promptly notify us of suspected unauthorized access or security issues.
• Individual credentials may not be shared. Team access must use authorized seats or access methods.

3. The Directory

The Directory provides curated workflows, tool references, implementation guidance, prompts, examples, and educational material for B2B marketing and sales work. Features, content, referenced tools, access tiers, and availability may change.

The Directory does not execute workflows for you and does not control third-party tools. You are responsible for reviewing outputs, protecting confidential information, obtaining approvals, following applicable law and company policy, and complying with third-party terms.

4. License and permitted use

Subject to these Terms and payment of applicable fees, P2P Ventures LLC grants you a limited, revocable, non-exclusive, non-transferable license to access and use the Directory and its content for your own personal or internal business purposes.

You may not:

• Reproduce, republish, sell, sublicense, distribute, or create a competing library from Directory content.
• Share paid content, prompts, screenshots, credentials, or unlocked access outside the licensed user or team.
• Scrape, crawl, bulk-download, harvest, or systematically extract content without written permission.
• Circumvent authentication, payment, access controls, rate limits, or technical restrictions.
• Reverse engineer, disrupt, damage, overload, or compromise the Directory or another account.
• Use the Directory for unlawful, fraudulent, abusive, infringing, or harmful activity.

5. Plans, subscriptions, and billing

• Current prices and plan features are shown on the pricing page and at checkout.
• Monthly and annual subscriptions renew automatically at the then-current price unless canceled before the next billing date.
• You authorize our payment provider to charge your selected payment method for fees, renewals, and applicable taxes.
• You can cancel a recurring subscription through available account or billing controls or by contacting us. Cancellation stops future renewals and normally takes effect at the end of the paid period.
• We may change prices or plan features prospectively. Price changes for an existing recurring subscription will apply only after any notice required by applicable law.
• Team access may be configured manually so seats, ownership, and permissions can be assigned correctly.

6. Refunds and lifetime access

Annual subscriptions and lifetime-access purchases are eligible for the 14-day money-back guarantee described on the pricing page. To request a refund, email hello@b2bai.directory within 14 calendar days after the original purchase. Monthly subscription fees are non-refundable except where required by law, but monthly subscriptions can be canceled to stop future charges.

Lifetime access means access to the applicable Directory offering for as long as P2P Ventures LLC continues to operate and offer that product, subject to these Terms. It does not guarantee perpetual operation, unchanged features, or continued availability of any third-party tool, integration, or service.

7. Changes and availability

We may add, remove, revise, suspend, or discontinue content, features, plans, or integrations. We do not guarantee that every workflow, feature, or third-party reference will remain available or current. Where practical, material changes affecting paid access will be communicated through the Directory or by email.

8. Third-party tools and links

The Directory references and links to third-party AI tools, software, websites, and services. P2P Ventures LLC does not control those services and is not responsible for their availability, security, pricing, accuracy, outputs, terms, or privacy practices. Inclusion does not guarantee endorsement or fitness for a particular purpose.

You are responsible for evaluating third-party services, purchasing necessary licenses, obtaining permissions, and deciding what information may safely and lawfully be provided to them.

9. Educational content and AI disclaimer

Directory content is provided for general educational and informational purposes. It is not legal, financial, tax, employment, security, compliance, medical, or other professional advice. Examples, benchmarks, time savings, expected results, and workflow outcomes are illustrative and are not guarantees.

AI-generated outputs may be incomplete, inaccurate, biased, outdated, or unsuitable. You are responsible for human review, fact-checking, testing, permissions, approvals, and final decisions before using an output or implementing a workflow.

10. Intellectual property and feedback

The Directory, its original content, organization, design, branding, software, and related intellectual property are owned by P2P Ventures LLC or its licensors and are protected by applicable law. Third-party names, logos, and trademarks belong to their respective owners.

If you voluntarily provide feedback or suggestions, you grant P2P Ventures LLC a worldwide, perpetual, irrevocable, royalty-free right to use that feedback without restriction or compensation.

11. Suspension and termination

We may suspend or terminate access if you violate these Terms, misuse the Directory, fail to pay applicable fees, create legal or security risk, or interfere with the service or other users. You may stop using the Directory at any time. Provisions that by their nature should survive termination will remain in effect.

12. Disclaimer of warranties

To the maximum extent permitted by law, the Directory is provided on an “as is” and “as available” basis without warranties of any kind, express, implied, statutory, or otherwise. P2P Ventures LLC disclaims implied warranties of merchantability, fitness for a particular purpose, non-infringement, and any warranty that the Directory will be uninterrupted, error-free, secure, current, or suitable for a particular outcome.

13. Limitation of liability

To the maximum extent permitted by law, P2P Ventures LLC and its owners, affiliates, contractors, and service providers will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, opportunities, or business interruption arising from or related to the Directory.

To the maximum extent permitted by law, the total aggregate liability of P2P Ventures LLC for all claims arising from or related to the Directory will not exceed the amount you paid to P2P Ventures LLC for the Directory during the 12 months before the event giving rise to the claim. If you paid nothing, total liability will not exceed US $100. Some jurisdictions do not allow certain exclusions or limitations, so part of this section may not apply to you.

14. Indemnification

To the extent permitted by law, you agree to defend, indemnify, and hold harmless P2P Ventures LLC and its owners, affiliates, contractors, and service providers from claims, losses, liabilities, damages, and reasonable costs arising from your misuse of the Directory, violation of these Terms, infringement of another party's rights, or unlawful use of a third-party service.

15. Governing law and disputes

Before filing a formal claim, each party agrees to make a good-faith effort to resolve the dispute informally by written notice. These Terms are governed by Delaware law, without regard to conflict-of-law rules. Any dispute not resolved informally will be brought exclusively in the state or federal courts located in Delaware, and each party consents to their jurisdiction and venue.

Nothing in these Terms limits consumer rights that cannot lawfully be waived or limits either party's right to seek emergency injunctive relief where appropriate.

16. Changes to these Terms

We may update these Terms. Updated Terms will be posted on this page with a revised effective date. Material changes may also be communicated through the Directory or by email. Continued use after updated Terms take effect constitutes acceptance, except where applicable law requires a different form of notice or consent.

17. General terms

These Terms and the Privacy Policy are the entire agreement between you and P2P Ventures LLC regarding the Directory, except for a separate written agreement that expressly applies. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver. You may not assign these Terms without our written consent. We may assign them in connection with a business transaction or by operation of law. We are not responsible for delays or failures caused by events beyond our reasonable control.
